1. Agreement to Terms

By opening an account, accessing this website, or using any TD Capital Limited services, you (the "Client") agree to be legally bound by these Terms & Conditions, together with our Privacy Policy, Risk Disclosure Statement, and AML Compliance Policy. If you do not accept these terms, you must not use our services.

2. Company & Licensing

TD Capital Limited is incorporated in Saint Lucia. All services are provided on an execution-only basis. Trading in leveraged products carries a high level of risk and may not be suitable for all investors. Please read our Risk Disclosure carefully.

3. Account Eligibility & Verification

Applicants must be at least 18 years old and legally permitted to trade in their jurisdiction of residence. TD Capital reserves the right to refuse or terminate any account at its sole discretion. All accounts are subject to KYC and AML verification prior to funding, withdrawing, or trading.

4. Deposits, Withdrawals & Fees

Deposits and withdrawals must be made using accounts held in the Client's own name. Third-party funding is strictly prohibited and will result in reversal of funds and possible account closure. Withdrawal requests may be delayed pending KYC/AML review. Processing fees, spreads, swaps, and commissions apply as published on our website.

5. Bonuses, Promotions & Abuse Policy

Bonuses, credits, promotions, contests and any other promotional benefits offered by TD Capital ("Promotional Benefits") are provided as a discretionary incentive to encourage genuine trading activity. They are not withdrawable as cash unless expressly stated in the specific promotion's terms.

The following activities constitute Bonus Abuse and are strictly prohibited:

  • Hedging, arbitrage, latency trading or opposing trades across one or more accounts (including accounts held by connected parties) with the primary intent of extracting the bonus with minimal market risk.
  • Opening multiple accounts (personally or via friends, family, or third parties) to claim the same promotion more than once.
  • Coordinated trading between two or more accounts, IP addresses, devices, or funding sources designed to lock in profit against a bonus.
  • Use of automated systems, expert advisors, scripts or trading bots for the sole purpose of exploiting a promotion.
  • Submitting withdrawal requests immediately after receiving a bonus without meaningful trading volume, or reversing/charging back a deposit that received a bonus.
  • Any activity considered by TD Capital, in its sole and reasonable discretion, to be inconsistent with the spirit of the promotion or with fair trading conduct.

Consequences of unacceptable trading patterns or history: Where TD Capital identifies any unacceptable trading patterns, bonus abuse, or a trading history that is inconsistent with genuine market activity, the Client's account(s) will be immediately flagged as a high-risk account and may be dealt with appropriately. Actions taken may include, without limitation: suspension of trading, cancellation of all Promotional Benefits and any profits derived from them, reversal of trades, withholding of withdrawals pending review, permanent account closure, and blacklisting of the Client and any connected parties across TD Capital and its affiliated entities. Decisions taken under this clause are final.

TD Capital may amend, suspend, or terminate any promotion at any time without prior notice. Nothing in this section limits TD Capital's other rights under these Terms or under applicable law.

6. Prohibited Trading Practices & Market Abuse

Clients must trade in good faith, in accordance with prevailing market conditions, and consistent with fair and orderly market principles. The following non-exhaustive list of activities is strictly prohibited. TD Capital reserves the sole and reasonable discretion to determine whether a given activity falls within these categories and to take any action described in Section 5 (including immediate flagging as a high-risk account, trade reversal, cancellation of profits, account closure, and blacklisting of the Client and any connected parties).

A. Latency, arbitrage and pricing exploitation

  • Latency arbitrage — exploiting delays between our quotes and reference venues.
  • Price / quote arbitrage between TD Capital and any third-party feed, exchange, ECN, aggregator, or liquidity provider.
  • Sniping stale quotes, "picking off" mispriced orders, or exploiting off-market prices, spikes, or feed errors.
  • Trading during periods of extreme illiquidity, market opens/closes, rollovers or news blackout windows solely to exploit widened spreads or thin liquidity.
  • Any strategy whose profitability materially depends on execution latency, technology delay, or price-feed defects rather than genuine directional risk.

B. Manipulative order-flow behaviour

  • Wash trading, matched trading, or pre-arranged trading across one or more accounts, whether owned by the Client, connected parties, or third parties.
  • Spoofing, layering, or entering orders with the intent to cancel prior to execution to move market prices.
  • Front-running, tailgating, or trading on the basis of information about pending customer orders.
  • Momentum ignition, pump-and-dump, ramping, marking-the-close, banging-the-close, painting-the-tape or any similar market-manipulation technique.
  • Coordinated trading across accounts, IPs, devices, or funding sources — including via friends, family, colleagues, IBs, MAM/PAMM structures, copy-trading systems, or nominee arrangements — designed to bypass risk limits, exposure limits, or promotional caps.
  • Trades executed on the basis of material non-public information ("insider trading") or otherwise contrary to applicable securities laws.

C. Hedging and exposure-neutralisation abuse

  • Opposing positions of similar size held across two or more accounts (own, connected or third-party) with the effect of extracting bonuses, swap credits, rebates, contest prizes, or negative-balance protection with minimal net market risk.
  • Internal hedging via correlated or inverse instruments across accounts for the same purpose.
  • Deposit / withdrawal round-tripping or repetitive funding activity with negligible trading between events.

D. Automated systems, EAs and API misuse

  • Use of expert advisors (EAs), scripts, bots, algorithms or any automated system that is designed to exploit pricing errors, latency, promotions, or platform vulnerabilities rather than take genuine market risk.
  • Excessive order-placement, cancellation, or modification rates that place undue load on our systems (including any behaviour resembling denial-of-service).
  • Unauthorised access to, reverse-engineering of, scraping of, or interference with our platform, API, price feeds or any related infrastructure.
  • Sharing, sub-licensing, or reselling access to a Client account, API credentials, or platform services without our prior written consent.

E. Identity, funding and financial-crime violations

  • Providing false, misleading or incomplete identification, address, source-of-funds or KYC information at any time.
  • Impersonation, use of another person's identity, or operating an account on behalf of an undisclosed beneficial owner.
  • Third-party deposits or withdrawals; funding an account with payment instruments not held in the Client's own legal name.
  • Use of stolen or unauthorised payment credentials.
  • Chargebacks, payment reversals or disputes initiated against genuine deposits, or any activity indicative of first-party fraud ("friendly fraud").
  • Any activity in furtherance of money laundering, terrorist financing, sanctions evasion, tax evasion, bribery, corruption, or the proceeds of any crime.
  • Operation of accounts from, or by residents of, sanctioned or restricted jurisdictions, or jurisdictions where TD Capital does not offer services.

F. Account, promotion and referral abuse

  • Opening multiple accounts (directly or through connected parties) to circumvent single-account limits, claim promotions multiple times, or evade prior sanctions.
  • Self-referrals or collusive referrals through the affiliate/IB programme.
  • Manipulation of MAM/PAMM master–follower relationships, copy-trading signals, or performance metrics.
  • Any activity intended to circumvent trading restrictions, negative-balance protection, margin calls, stop-out policies, or risk-management controls.

G. General conduct

  • Any activity that violates applicable law, regulation, market rules, or the rules of any exchange, ECN, or liquidity provider.
  • Any activity that, in TD Capital's sole and reasonable opinion, is abusive, disruptive, unfair to other Clients, or contrary to the spirit of fair and orderly trading, even if not specifically listed above.

Enforcement. Where TD Capital identifies any of the activities described above, or any pattern of trading or account history that is inconsistent with genuine, good-faith market participation, the Client's account(s) will be immediately flagged as high-risk and may be dealt with appropriately. Actions include, without limitation: cancellation and reversal of affected trades and any profits derived from them; forfeiture of all Promotional Benefits; withholding, delaying or refusing withdrawals pending review; suspension or permanent closure of the account(s); reporting to relevant authorities where required by law; and permanent blacklisting of the Client and any connected parties across TD Capital and its affiliated entities. Decisions taken under this Section are final and not subject to appeal.

7. Risk Warning

Leveraged trading in CFDs, forex and other margin products carries a high level of risk and can result in the loss of all invested capital. You should not trade with money you cannot afford to lose. Past performance is not indicative of future results.

8. Limitation of Liability

To the maximum extent permitted by law, TD Capital shall not be liable for any indirect, consequential, or incidental loss, including but not limited to loss of profits, arising from the use of our services, market volatility, technology failures, or acts beyond our reasonable control.

9. Amendments

TD Capital may amend these Terms at any time. The updated version will take effect upon publication on this website. Continued use of our services after amendment constitutes acceptance of the revised Terms.

10. Governing Law

These Terms are governed by the laws of Saint Lucia. Any dispute arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the competent courts of Saint Lucia.
